Athletic Club’s Board of directors, in compliance with the First Transitory Regulation of the Basque Government’s Cultural Department Decree 163/2010, dated 22 June, concerning Sports Clubs and Associations, have agreed, in accordance with Articles 20, 23 and 54/2 of the Social Statutes, to call upon Athletic Club’s Associate Members to attend the Extraordinary General Assembly meeting which will be held at the Euskalduna Palace’s Auditorium, Ave Abandoibarra 4, in Bilbao, on Monday, 11 April 2011, the first session will be at 19:15 hours and the second at 19:30 hours, subject to and in accordance with article 12 of the abovementioned Basque Government’s Cultural Department Decree 163/2010.

AGENDA

FIRST.- Approval, if so, of the Club’s Statutes Reform Project, drafted by the Commission regarding the First Additional Regulation of the current Statutes.

All members are hereby informed of the following:

Firstly: The time frames which have been established in accordance with the First Additional Regulation of the current statutory text for modification itself, are as follows:

• The time frame for Members to submit their proposals to the Commission will be of 10 days and will end on 14 March at 19.00 hours.
• The time frame for the Statutes Reform Commission to draft the definitive Project will be of 15 days, finalizing on 29 March, this date included.
• The Statutes Reform Project will be expounded to members for their information on the Club’s Notice board during 12 days, from 30 March until the date of the Assembly meeting.
• Members may obtain, at the Club’s offices and in person, a copy of the Statutes Reform Proposal to be submitted to the Extraordinary Assembly for approval.

Members are also hereby informed that copies can be downloaded on the club’s web page, www.athletic-club.net via “Txoko de los Socios”.

Second: In accordance with the stipulations in section 6 of the Statutes’ First Additional Regulation, the Extraordinary Assembly Meeting’s presiding body will be made up by the members of the Statutes Reform Commission and the secretary of the Board of directors.

Third: In accordance with Art. 27 of the current Statutes in force, the Assembly will be considered valid if 50% of the members attend the first session and at least 10% for the second.

Fourth: Members are hereby informed that the Statutes Reform agreement requires the approval of two thirds of the attendees at the Assembly meeting, as stipulated in section 7 of the First Additional Regulation of the current Statutes.

Fifth: Ballot boxes will be available once the Assembly has been validly constituted and will close once a reasonable time period has elapsed after the finalization of the question time period.

Sixth: In accordance with the stipulations established in Art. 25 of the Statutes currently in force members will need their ID cards to access the premises where the Assembly will be held.
